The outlook is revised to negative from stable due to
a downturn in the six-month fiscal year 2010 operating performance and increased bad debt and charity care, an increase in debt load, and pro forma liquidity below historical levels. A rating downgrade is precluded due to the recent opening of updated facilities, the hiring of new physicians, and an expanded marketing campaign.

Remarks: Moody's has upgraded to Aa3 and Aa3/VMIG1 from A1 and A1/VMIG1. The outlook is revised to stable from positive at the higher rating level. The upgrade reflects the consistent and favorable financial performance over the past decade,
resulting in above-average margins.
